Management Buy-outs

For most managers, a management buy-out (MBO) represents a one-off opportunity to move from a purely employee position to participation in the ownership of the business.

An MBO will almost certainly involve dealing with situations, processes and professionals that you have never encountered before. The process is complex and often time consuming. It involves managers making decisions that may put some or all of their personal wealth at risk. We can provide the guidance and insight that will help the MBO team make correct decisions at appropriate times with confidence.

Particular issues, which typically form part of our contribution to an MBO project, include:

  • Examination of the risks and nature of the business and the viability of an MBO project
  • Development of a business plan and funding package
  • Sourcing finance providers and negotiation of terms and facilities
  • Negotiating with the vendor

Management Buy-ins

Once a viable target is identified, the management buy-in (MBI) uses many of the same skills and resources as an MBO or any other acquisition. However, the MBI process starts much earlier, with the pulling together of a team and the identification of suitable targets.
